| Tim Leisman - President & CEO |

Tim Leisman has more than 25 years of software and service general management experience at Fortune 50 companies and start-ups. Previously, he was President and CEO of
Storability Software, a recognized leader in enterprise storage management software. Previous to this assignment Tim was President and CEO of Infinite Content, an i2
business-to-business software company, where he grew to more than $100M in two years.
At Compaq, Tim was Senior Vice-President and Division General Manager of the Outsourcing Division, which he founded and grew to $1.5B in revenue in just 5 years.
During his 14-year tenure at Digital Equipment Corporation, Leisman held several senior executive positions in software and services organizations.
He holds a B.A. in economics and a MBA in marketing from the University of Massachusetts, Amherst. Tim also completed Harvard’s Executive Education Program.

| Peter Cox - Chief Technology Officer International |

Mr. Cox co-founded BorderWare. He brings more than 25 years experience to the company as a specialist in network security and e-commerce. As VP, Europe, he is responsible for managing BorderWare's
operations in Europe, Africa, the Middle East, Asia Pacific and Australia.
Before founding BorderWare, Peter started Internet Smartware, a European specialist in network security and e-commerce. While serving as the Managing Director, Peter worked on a number of
high-profile projects including Fleetweb, the first Internet-based EDI application to receive U.K. Tax Authority authorization for the transmission of tax invoices.
Earlier in his career, Peter joined Border Network Technologies Inc., the original developer of the BorderWare Firewall Server. As the European managing director, he set up the European
distribution channel for the Firewall.
Before Border, Peter worked for The Wollongong Group as European technical director, where he was responsible for promoting the early use of TCP/IP networks. He began his career at the U.K.
Metropolitan Police Forensic Science Laboratory. While there, he pioneered the use of mini-computers for managing the large quantities of data generated in criminal investigations.
Peter is also one of the leading authorities on the Common Criteria organization, security certification and protection against cyber terrorism, and was instrumental in enabling Borderware
to become the first firewall vendor to achieve an EAL 4+ Common Criteria Certification.
Peter holds a BSc in biological sciences and an MSc in environmental engineering from the University of Newcastle on Tyne. Subsequently, he earned a post-graduate diploma in information
science from City University London.

| Gregg Timmons - VP Global Marketing, Strategy & Customer Service |

Gregg Timmons brings over 20 years successful experience in sales, marketing, and business development in F500 and startup companies. In his role as Vice President, Global Marketing, Strategy and Customer Service, Gregg is a key member of the executive team and is responsible for building BorderWare’s business through strategic marketing initiatives, go to market strategies, lead generation, and customer services. Prior to his current position, Gregg was responsible for expanding BorderWare’s business in North America as Vice President, North America Sales.
Before joining BorderWare, Gregg was Vice President, Partner Sales and Alliances at Entrust, Inc. responsible for channel sales and marketing. Prior to Entrust, Gregg spent six years at Netscape Communications running the Americas Partner Sales organization, which was a $100 million business for the company. Gregg was responsible for leading a team responsible for multi channel sales and marketing strategies, partner portfolio management, strategic partner business development, marketing and revenue production. Before coming to Netscape, Gregg worked at Silicon Graphics, and was at Eastman Kodak Company for 10 years in various sales management roles. Gregg holds a BBA in Accounting from the University of Texas, San Antonio. |

| Mike Fish - VP International |

Mike Fish joins BorderWare as a seasoned international executive and business builder with a 25 year track record of growing technology businesses – at Board
and Executive level. He brings an enviable network of contacts throughout Europe and the USA, including Fortune 500 decision makers, IT and Telco executives,
entrepreneurs, VCs and professional advisers. Mike will focus on driving BorderWare's international strategy and business operations across Europe, the Middle
East, and the Asia-Pacific region, as well as contributing to the corporate direction as part of the executive team.
Prior to joining BorderWare, Mike was Chairman of grid software company Scali, where he recently helped to secure a $7.5M investment, assisted the company in
relocating from Europe to the US and in building strategic partnerships with leading vendors such as HP, Dell, SGI and Novell.
In his previous role as Director at Interregnum plc, a UK listed technology venture capital firm, Mike completed direct and external investments in portfolio
companies, as well as advising a variety of growth company clients. Previous to this Mike built a five million dollar European business in less than two years
as Managing Director EMEA with Platform Computing Corp., building a strong European team and signing global deals with Nokia, Ericsson, Philips and Siemens.
Mike received his early training in Sales and Marketing with Hewlett-Packard in France, and has a degree in engineering.

| Andrew Graydon - Chief Technology Officer |

Andrew is responsible for leading the technology innovations at BorderWare, ensuring our position as a leader in the messaging security field. Bringing his technical expertise
and years of working worldwide with customers and technical communities, his vision, energy and enthusiasm drive BorderWare products to being the best-of-breed in messaging security.
Prior to joining BorderWare, Andrew was the V.P. Customer Engineering at Wysdom, a privately held company which pioneered the Software Delivery Platform for wireless devices, allowing
wireless telcos to enable their internal infrastructure for secure delivery of functionality to external developers. In this role he helped to internally define the technology and concepts
while working with the customers and the technical community.
In his previous position as Director, Development with Origins Software Company, a startup in Boston bought by Wysdom, he architected the product and led the development team for
ActiveBlueprints, a fourth generation development environment for generating N-tiered application code for mobile devices from graphical design flow diagrams.
Andrew holds a B.Sc(Hons) from Dublin City University, Ireland, in Applied Physics with specialisations in Computational and Mathematical Physics.

| Demetri Fanourgiakis - VP Engineering |

Demetri is a seasoned executive with 25 years of experience in building wide and local area networks (WAN & LAN) access devices and switches for customer premises and service provider infrastructure deployment. Most recently, Demetri held the position of R&D Leader for the CTO Office of Nortel networks, where he was responsible for Common Developments and R&D Effectiveness across all the business units of the company. Prior to that Demetri was Vice President of Engineering at Enterasys Networks where he was responsible for the successful launch of a new engineering development site in Toronto and the development of the company’s Secure WAN IP Access Routers. Demetri was Director of Engineering for Motorola’s Internet and Networking Group (ING), where he led a team that developed award-winning WAN multi-service IP routers and access devices that enable customers to converge their voice and data networks under the IP protocol and the emerging IP infrastructure. As Vice President of Engineering at Memotec, Demetri played an instrumental role in the foundation of the company, and managed the development of ATM and Frame Relay access switches, IP routers, bridges and CSU/DSU devices. Previously, he held senior positions with Chantry Networks a WiFi Wireless startup, Microsoft, Nortel and Philips. |

| Jack Pagano - VP North American Sales |

Jack Pagano has over 20 of experience in the high-tech industry where he held senior roles with start-up organizations and industry leaders focused on Enterprise Networking, IT Security Solutions and Professional Services.
Before joining Borderware Technologies, Jack held a General Managers position with Enterasys Networks Canada. He was nominated to the Board of Directors for the Canadian Corporation and he also held P&L responsibilities for all aspects of the Canadian business.
In the early stages of his career Jack was involved in numerous International assignments in Asia Pacific, Latin America and Middle East. He held both technical and sales leadership position with the International division at Eicon Technologies where he built the technical team, recruited and developed the international sales channel and generated $12 million in revenue in 2 years.
Jack has a strong technical background in IP Based Networking, Network and Application Security Solutions as well as IP Telephony. Jack studied at Concordia University in Montreal, towards a Bachelors of Commerce degree majoring in Management Information Systems. |

| Teresa Brzozowski - VP Operations |

Teresa Brzozowski brings over 15 years of management, business development and marketing experience in technology to BorderWare. Prior, Teresa was responsible for
European business at MGI Software (TSX:MGI) a leading provider of digital imaging and video products. There she led the European region to over $10 million in
sales, successfully negotiated contracts and managed relationships with OEMs and strategic partners, while establishing MGI products as best sellers. Prior to
MGI, Teresa was a member of the senior management team at Delrina (NASDAQ:DENAF), a leading provider of communications and forms software. She managed Delrina’s
international business development efforts, including Europe and AsiaPac, until the company’s sale to Symantec (NASDAQ:SYMC).
While with Symantec, she managed
the integration of Delrina’s “Rest of World” business with Symantec’s. Teresa holds an Applied Studies Bachelor of Arts degree from the University of Waterloo
where she is currently a Member of the President’s Alumni Advisory Council. She is also a member of the Development Committee for Pathways to
Education (www.p2e.ca), a Toronto-based charity which assists disadvantaged youth in successfully completing high school. |

| Jeff Carr - VP, SIP Solutions Group |

Mr. Carr brings over 19 years of successful experience in technology sales and business development. Currently he is Vice President, SIP
Security Solution Group for Borderware Technologies and is responsible for all managing the team that is focused on the emerging SIP/VoIP security market.
Mr. Carr started his career with NCR Corporation where he spent 8 years in the Data Services Division until NCR’s acquisition by AT&T in 1991. He then moved to Oracle in the applications division focusing on major Telco’s in
the western US and Latin America. In 1997 he joined Netscape Communications as a Regional Sales Manager for Central sales. He led the central sales region increasing revenues from under $5M to $33M. Netscape was acquired by
AOL in 1998 for $6+ Billion. Beginning in 2001, he has focused exclusively on network security solutions as the first VP of Sales for Vericept Corporation, a leader in the network intelligence and forensic market. Prior to
joining Borderware he was part of the leadership team with Ciphertrust an Atlanta based email Security Company.
Mr. Carr holds a BS in Geotechnical Engineering/Soil Science from Colorado State University.

| Denise Scarff - VP, Human Resources |

For the past 12 years, Denise has served in various corporate human resources roles where she was responsible for overseeing North American as well as worldwide
operations. During her 3 year tenure at Silicon Graphics Canada, Denise held a number of generalist human resources positions, including payroll and strategic organizational
development. Subsequently, Denise held senior human resources management roles at Platform Computing Corporation where her responsibilities included all aspects of Human Resources and a key strategic business partner to the executive management team of Finance, Information Technology and Legal departments.
Currently, Denise is responsible for world-wide human resources for BorderWare Technologies reporting directly into the President & CEO and is a key member of the
Executive Team. Denise holds an Honours designation in Business & Administrative Studies from the Academy of Commerce of Barbados in 1992 and received her Human Resources Management
Certification in 1998. Denise is a member of the Human Resources Professional Association of Ontario and has been a guest speaker at various seminars on human
resources and organizational development.
